Sens. Cory Booker, Adam Schiff and Elizabeth Warren urged the FCC to pause Paramount’s proposed acquisition of Warner Bros. Discovery until it completes a review of foreign investment in the combined company. They raised national-security concerns despite Paramount’s assurances and the Justice Department’s conclusion that the deal was unlikely to harm competition.
In a joint letter to FCC Chairman Brendan Carr, Booker, Schiff and Warren said Paramount should not close the merger before the FCC reviews foreign investors’ stakes in the proposed company. They cited Paramount’s disclosure that foreign ownership would rise to about 49.5%, while voting rights would remain controlled by the Ellison family through U.S. entities. The senators asked Carr to reject preemptive approval and gave him a July 1 deadline to notify Paramount that the deal could not close before the review was complete.
